Observer pays dividend of SEK 0.45 per share

Örjan Håkanson reelected Chairman

The Annual General Meeting of Observer AB held today approved a dividend
of SEK 0.45 per share. The record date is May 7 and the dividend is
expected to be paid on
May 13.

The Annual General Meeting authorized the Board of Directors, until the
company's Annual General Meeting in 2003, to decide on the issue of not
more than 2,000,000 new shares in the company. The issues in question
may deviate from the shareholders' preferential rights to subscribe for
new shares. The Board may decide that the shares may be subscribed in
return for non-cash consideration or offsets, according to the terms in
chapter 4 § 6 of the Swedish Companies Act. The authorization may be
utilized, within the above-mentioned parameters, on one or more
occasions. The reason for the deviation from the shareholders'
preferential rights is that the new shares will be used to acquire
operations or companies.

The Annual General Meeting reelected Board members Örjan Håkanson, Maria
Lilja, Håkan Bryngelson, Ulf Ivarsson, Hans Tson Söderström and the
company's president, Robert Lundberg. Örjan Håkanson was reelected
Chairman at the statutory Board meeting.
